1. Agreement to terms

By accessing this website or engaging Farnit OÜ for services, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, you may not use this website or engage our services.

These terms apply to Farnit OÜ, a private limited company registered in Estonia (registry code: 16862116), hereinafter referred to as "Farnit", "we", "us", or "our".

2. Services

Farnit OÜ provides technology consulting services including, but not limited to:

  • Technical leadership and software architecture consulting
  • Software development in Rust and Ruby on Rails
  • Artificial intelligence and large language model system development
  • Mobile application development for iOS and Android

The specific scope, deliverables, timeline, and pricing for any engagement are defined in a separate written agreement (statement of work, proposal, or contract) agreed upon between Farnit and the client prior to commencement of work.

3. Engagement and payment

All client engagements are subject to a separate written agreement that specifies the scope of work, compensation, payment schedule, and any other relevant terms.

Unless otherwise agreed in writing:

  • Invoices are payable within 14 days of the invoice date.
  • Late payments may be subject to statutory interest under Estonian law.
  • All fees are exclusive of applicable taxes unless stated otherwise.

4. Intellectual property

Unless explicitly agreed otherwise in a written contract:

  • All work product created specifically for a client and fully paid for transfers to the client upon receipt of full payment.
  • Pre-existing tools, frameworks, libraries, and methodologies developed by Farnit remain the property of Farnit OÜ.
  • Open source components used in any engagement are subject to their respective licences.

5. Confidentiality

Farnit OÜ treats all client information as confidential. We will not disclose proprietary business information, technical details, or other confidential data shared with us in the course of an engagement to any third party without prior written consent, except as required by law.

6. Limitation of liability

To the fullest extent permitted by applicable law, Farnit OÜ's total liability to you for any claim arising out of or in connection with our services or these terms shall not exceed the total fees paid by you to Farnit in the three months preceding the event giving rise to the claim.

Farnit OÜ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption, regardless of the theory of liability.

Nothing in these terms limits liability for fraud, gross negligence, or any liability that cannot be excluded by law.

7. Website use

This website is provided for informational purposes. While we strive to keep the information accurate and up to date, we make no warranties regarding the completeness, accuracy, or fitness of the content for any particular purpose.

You may not use this website in any manner that could damage, disable, or impair the website or interfere with other parties' use of it.

8. Governing law and disputes

These Terms & Conditions are governed by and construed in accordance with the laws of the Republic of Estonia, without regard to conflict of law provisions.

Any disputes arising out of or relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Estonia. We encourage resolving any disputes amicably first — please contact us at farnit.com/#contact before initiating legal proceedings.

9. Changes to these terms

We reserve the right to update these Terms & Conditions at any time. Changes will be reflected by updating the date at the top of this page. Your continued use of our website or services after any changes constitutes acceptance of the updated terms.
